Osisko Mining Corp (TSX: OSK) has agreed to the purchase of 50% interest of its mining and exploration assets by Yamana Gold Inc (TSX:YRI; NYSE:AUY) for around $930 million. The deal reflects a $441.5 million cash payment by the Toronto-based Yamana and 95.7 million in shares. Additionally, Osisko has entered into arrangements totaling $550 million with CPPIB Credit Investments and the Caisse de dépôt et placement du Québec for the sale of a gold stream on its Canadian Malartic Mine and an increase in its credit facility. Combined investments will generate $1 billion in cash to be distributed to Osisko shareholders, the Montréal-based company said. Osisko investors will vote on the Yamana deal no later than May 20, 2014. In January, the Vancouver-based Goldcorp Inc (TSE: G) made a hostile $2.6 billion bid to acquire Osisko.
Canadian investment and merchant banking firm Pinetree Capital has bought 10 million common shares and 10 million common share purchase warrants of Mooncor Oil & Gas Corp (TSX Venture: MOO). The transaction represents approximately 11.8% of the total issued and outstanding shares of the company. Based in Calgary, Mooncor is a junior oil and gas exploration and development company.
Great Hill Partners has made a minority investment in bswift. Financial terms weren't announced. Chicago-based bswift offers software and services that aim to streamline benefits, HR and payroll administration for employers and public and private exchanges nationwide. Great Hill's investment came from its fourth investment fund that closed at $1.1 billion in 2009. Raymond James & Associates acted as financial advisor to bswift.
Carbon60 Networks Inc said Wednesday that it has received growth funding from Canadian private equity firm Roynat Equity Partners and its new CEO John Witte. No financial terms were disclosed. Based in Toronto, Carbon60 is a provider of cloud computing and managed IT solutions to Canadian enterprises and public sector clients. Update: Proceeds of the investment will enable the company to build upon its high-touch IT services offering. Established in 1999, Carbon60 has data centres in Toronto and Kelowna, British Columbia.

Pamplona Capital Management said Wednesday that it has purchased a majority stake in Alvogen. No financial terms were disclosed. Jefferies provided the financing commitment for the transaction and also advised Pamplona along with Perella Weinberg Partners. Based in Luxembourg, Alvogen is a pharmaceuticals company that produces and distributes generic, brand, OTC brands and biosimilar products.
American Capital said Wednesday that it has sold its stake in ADF Holdings to Calumet Specialty Products Partners for $33 million. ADF is the parent company of Anchor Drilling Fluids USA. Based in Tulsa, Anchor is a drilling fluid provider that produces and sells its products to approximately 250 exploration and production companies in North America.
Tulsa-based Canyon Creek Resources has received an equity capital commitment of $75 million from ArcLight Capital Partners. As a result of the capital commitment, Canyon Creek Resources and ArcLight have launched Canyon Creek Energy Partners, which will acquire and develop oil and gas assets in the U.S. mid-continent region. Canyon Creek's president and CEO R. Luke Essman and Brett A. Bradford, the firm's executive vice president and COO, will continue in their roles.
