H2 Equity Partners has acquired Eurocell Ltd. No financial terms were disclosed. Based in the UK, Eurocell is a producer and provider of PVC-u profiles and roofline products.
Computer maker Dell said Thursday that, based on a preliminary vote tally, its stockholders have approved a proposal in which Michael Dell, the company's founder, chairman and CEO and Silver Lake Partners, will acquire the company for approximately $24.9 billion. In connection with the deal, Dell stockholders will receive $13.75 in cash for each share of common stock they hold. The transaction is expected to close before the third quarter of 2014. The company will remain headquartered in Round Rock, Texas.
The Miller Group has named Alan B. Lerchbacker as managing director of the western region for its affiliate Miller Capital Corp. Previously, Lerchbacker served as president of Taylor Dunn and prior to that, worked for the U.S. Navy where he was an officer in charge of the Space Shuttle Challenger recovery operations. Headquartered in Scottsdale, Arizona, the Miller Group is a venture capital and private equity firm.
Global law firm Proskauer said Thursday that it has named Yong Ren as a partner at the firm's private investment funds group in the Beijing office. Previously, Ren worked at Mayer Brown where he focused on private equity, hedge funds, funds of funds, venture capital, distressed opportunities, mezzanine and real estate firms in the U.S., Asia and Europe.
New Orleans-based Southern Theatres, a portfolio company of Veronis Suhler Stevenson, said Thursday that it has acquired Movie Tavern. No financial terms were disclosed. Proskauer Rose, Lathrop & Gage and Ernst & Young advised Southern Theatres on the deal while GE Capital, Webster Bank, Capital One and CIT provided the financing. Peter J. Solomon Company served as financial advisor to Movie Tavern. Based in Dallas, Movie Tavern is a cinema eatery chain.
CTPartners said Thursday that it has inked an agreement to buy Taylor Executive Consultancy Latam S. de R.L, a Mexican executive search firm. No financial terms were disclosed. Also, the company has named Eduardo Taylor as a managing partner for its Mexico office. Headquartered in New York, with offices all over the world, CTPartners is an executive search firm that serves a wide variety of sectors, including private equity and venture capital.
Golub Capital BDC plans to make a public offering of 3,000,000 shares of its common stock at $16.95 per share. Wells Fargo Securities, Morgan Stanley and UBS Investment Bank will serve as underwriters for the offering, which is expected to close on September 17, 2013. Based in Chicago, Golub Capital BDC is a business development company that makes debt and minority equity investments in middle-market companies.
Movable Ink said Thursday that it has named Adam Stambleck as vice president of client experience. Previously, Stambleck worked at Yesmail Interactive, serving as vice president of account management. Based in New York City, Movable Ink is a provider of email marketing technology. It is backed by Intel Capital, Contour Venture Partners, Metamorphic Ventures, ff Ventures and Kima Ventures.
Veeva Systems, which is backed by Emergence Capital Partners, has filed for an IPO. The number of shares and the pricing have not been set yet. The stock will trade as "VEEV" on the New York Stock Exchange. Morgan Stanley & Co. and Deutsche Bank Securities will serve as underwriters. Based in Pleasanton, Calif., Veeva Systems is a provider of cloud-based software solutions for the global life sciences sector.
Propel Equity Partners said Wednesday that it has purchased the ZOOB construction toy line from Infinitoy. No financial terms were disclosed. Based in Greenwich, Conn., Propel Equity is a private equity firm that invests in consumer brands.
