Shearer's Foods, a portfolio company of Wind Point Partners and Ontario Teachers' Pension Plan, has agreed to acquire Lance Private Brands from Snyder's-Lance. No financial terms were disclosed although some news outlets report the amount of the purchase to be $430 million. Lance Private Brands is a maker of cookies, crackers and wafers.
ExamSoft has secured a "significant" investment from Spectrum Equity. Based in Dallas and Boca Raton, Florida, ExamSoft is a provider of intelligent educational assessment solutions.
Private equity firm CXO Collective International has made an undisclosed investment in Botanika Research Labs. According to Botanika, the capital will be used to support the firm's QVC product launches. Botanika is the maker and owner of the Neydharting Moor Skin and Body Care line.

Golden Gate Capital has agreed to acquire Phillips-Medisize Corp. from Kohlberg & Company. No financial terms were disclosed. Goldman Sachs advised Phillips-Medisize on the transaction while Robert W Baird advised Golden Gate Capital. Headquartered in Hudson, Wisconsin, Phillips-Medisize is a provider of design and manufacturing services to the pharmaceutical, medical device, diagnostic and specialty commercial sectors.
Charlesbank Capital Partners has acquired American Residential Services from CI Capital Partners and Royal Palm Capital Partners. No financial terms were disclosed. Berenson & Company and Paul, Weiss, Rifkind, Wharton & Garrison advised ARS on the transaction while Metronome Partners, RBC Capital Markets and Goodwin Procter advised Charlesbank. Based in Memphis, Tenn., ARS is a provider of heating and air conditioning and plumbing services.
